CPAC.ca Website Terms of Use

These terms of use govern the use of the CPAC.ca website (the “website”). The website is owned and operated by Cable Public Affairs Channel Inc. (“CPAC”). The website may not be used or accessed other than in accordance with these terms of use so they should be read carefully. If you do not agree with any of these terms of use, your sole and exclusive remedy is to stop using the website. Your use of the website constitutes your acceptance of these terms of use in their entirety.

These terms of use may be modified by CPAC from time to time, in its sole discretion, by posting an updated version on the website. This version was posted on the website on August 15, 2024.

  1. Use of Content: All materials displayed or otherwise accessible through the website, including, without limitation, audio-video feeds, video clips, audio clips, text, photographs, images, illustrations, computer software and code, trade-marks, trade names and logos, and the website itself as a compilation (collectively, the “Content”) is protected under Canadian and foreign copyright or other laws, and is owned by CPAC, its licensors or others who may or may not be accredited as the provider of the Content. You are granted by CPAC a limited non-exclusive, non-transferable license to view the Content on your computer or other electronic access device for your own personal and non-commercial use only, provided that: (i) you do not modify the Content; (ii) you maintain all copyright and other proprietary notices; and (iii) you abide by all additional copyright notices, information and restrictions on or contained in any of the Content. Any use of the Content for the development of software programs, which includes but is not limited to, training large language models and/or artificial intelligence systems is strictly prohibited. Any other use of the website or the Content is not permitted without CPAC's prior written consent. You agree not to reproduce, make derivative works of, retransmit, distribute, sell, publish, communicate, broadcast or otherwise make available, or authorize others to do so, the website or any of the Content, including without limitation, by data mining, scraping, caching, framing or similar means without CPAC's prior written consent. Linking to the website is permitted, provided that CPAC reserves the right to prohibit linking from any other website in CPAC's sole discretion. Linking to the website which does not link to the website in its entirety or which results in any use of the website or of any of the Content in association with any material not previously approved by CPAC, including but not limited to hotlinking, inline linking, and embedding, is expressly prohibited.

  2. Trademarks: CPAC, the CPAC logo, designs and catch phrases on the website are official marks or trademarks of CPAC. Other names, words, titles, phrases, logos, designs, graphics, icons and trademarks displayed on the website may constitute registered or unregistered trade-marks of third parties. While certain trademarks of third parties may be used by CPAC, the display of third-party trademarks on the website should not be taken to imply any relationship or licence between CPAC and the owner of such trademark or to imply that CPAC endorses the wares, services or business of the owner of such trademark. Nothing contained on the website should be construed as granting you any licence or right to use any trademark, logo, design or catch phrase of CPAC or any third party, without the written permission of CPAC or the respective owner of any third-party trademark.

CPAC is not responsible, and you agree that CPAC will not be liable for, the content of, or any other material on or accessed through any such linked sites or any other web page which is not part of the website.

Indemnification: You agree to defend, indemnify and hold harmless CPAC, its affiliates and related companies, and their officers, directors, employees and agents, including all third parties mentioned in the website, from and against any and all claims, actions or demands, including without limitation reasonable legal and accounting fees, resulting from or related to: (a) your breach of any of these Terms of Use; (b) your access to or use of the website or the Content; or (c) your use or reliance on, or publication, communication or distribution of anything on or from the website. You shall use your best efforts to cooperate with us in the defence of any claim. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you.

Limitation of Liability: You expressly understand and agree that in no event shall CPAC, or its licensors, be liable for any damages whatsoever, including any direct, indirect, incidental, consequential, special or exemplary damages, and any damages for loss of profits, savings, goodwill or other intangible losses, regardless of whether CPAC had been advised of or could have foreseen the possibility of such damages, arising out of or in connection with: (i) the use, inability to use or performance of any of the website or the content, or (ii) any other matter relating to the website or any of the content, including without limitation any corrupted content, viruses, or other materials accessed by means of the website.

  7. Governing Law/Jurisdictional Issues: The website is controlled, operated and administered by CPAC from Canada. CPAC makes no representation or warranty that the website or any of the Content is appropriate or available for use at any locations outside Canada. If you access the website from outside Canada, you are responsible for compliance with all applicable laws. These terms of use shall be interpreted, construed and governed by the laws in force in the Province of Ontario, Canada, without reference to its conflict of laws principles. You agree to submit to the jurisdiction of the courts of the Province of Ontario and to waive any objections based upon venue.

  8. Termination: CPAC may, in its sole and absolute discretion, without notice or liability to you, suspend or terminate your account or your use of, or access to, the website or the Content, and remove and discard any information or content related to the website and the Content (and your use thereof), for any reason, including where CPAC believes that you have violated any of these terms of use.

  9. Submissions: CPAC does not solicit ideas or suggestions for use in connection with the website or otherwise for use by CPAC. Under no circumstances will any disclosure of any idea and/or suggestion or related material by you to CPAC be subject to any obligation of confidentiality or expectation of compensation. By submitting any idea and/or suggestion to CPAC or any related material, you are waiving any and all rights that you may have in the idea and/or suggestion or any related material and are representing and warranting to CPAC that the idea and/or suggestion or any related material are wholly original with you, that no one else has any rights in the idea and/or suggestion or any related material and that CPAC is free to implement the idea and/or suggestion and to use the related material if it so desires, as provided or as modified by CPAC, without obtaining permission or licence from any third party.

  10. User Messages: This website permits you to provide feedback to CPAC by responding to web forms and by sending email messages. Both types of feedback are referred to as “Messages”. CPAC accepts no responsibility whatsoever in connection with, or arising from, such Messages. Messages reflect your opinion, or the opinion of other persons submitting the Messages, and are not the opinion of CPAC. CPAC does not assume responsibility for the content of the Messages, except as may be required under the Accessible Canada Act. While using the website, you will comply with all applicable laws, rules, and regulations. In addition, CPAC expects the users of the website to respect the rights and dignity of others, to strive to maintain a high level of civil discourse, and to observe rules of netiquette. Without limiting the foregoing, you agree that you will not: (i) transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind; (ii) transmit any Message that violates or infringes the rights of others (including without limitation privacy rights and copyright); (iii) transmit any Message that is discriminatory or harassing or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual; (iv) submit any Message that solicits passwords or personal identifying information for commercial or unlawful purposes from other users; or (v) transmit any virus or other harmful computer data, program or information, junk mail, chain letters, unsolicited mass mailing or spam. You agree that any Messages whatsoever submitted by you become the property of CPAC and may be used, copied, sublicensed, adapted, transmitted, distributed, publicly performed and published, displayed or deleted as CPAC determines, in its sole discretion. You waive any moral rights in and to the messages. CPAC may determine to bar any user from submitting Messages if, in CPAC's sole opinion, such user has violated these terms of use.

  11. General provisions: Any consent by CPAC to, or waiver of, a breach of these terms of use, whether express or implied, will not constitute a consent to, or waiver of, any other, different or subsequent breach. You may not assign or transfer any rights or obligations under these terms of use. If any term or provision of these terms of use is held by a court of competent jurisdiction to be invalid, it will be severed and the remaining provisions shall remain in full force without being invalidated in any way. These terms of use are not intended to create a partnership, joint venture, or agency relationship between CPAC and any other person. These terms of use constitute the entire agreement between you and CPAC relating to the matters contained herein and each updated version of these terms of use is deemed to supersede and replace this version in respect to your use or continuing use of the website and the Content after the updated version is posted on the website.

  13. Images: Some images included on this site are Licensed Third Party Materials and are copyright protected. The downloading of any such material for other than personal use, including its reproduction, retransmission or republication of any kind is strictly prohibited.
